These Terms and Conditions govern all quotations, offers, and contracts for the sale and supply of goods and services by Purely Digital Limited. By placing an order with us, you agree to be bound by these conditions. Please read them carefully before proceeding with your order.
1. APPLICATION
These Conditions of Sale apply to all quotations, offers, and contracts for the sale and supply of goods and services by Purely Digital Limited.
2. DEFINITIONS
In these Conditions, the following words have the following meanings:
"Additional Charge"
means any charge under the Contract, in addition to the Price, including anything expressly specified as an Additional Charge and any Work in Progress Charge.
"Artwork"
means all graphics, images, photographs, text, copy, sketches, illustrations, content, designs, shapes, and other works and things to be printed on the Goods or Customer Materials.
"Charges"
means all amounts payable by you under the Contract, including the Price, Postage Charges, any Additional Charges, and any Work in Progress Charges.
"Conditions"
means these Conditions of Sale of Purely Digital Limited.
"Contract"
means the contract which incorporates these Conditions.
"Customer Materials"
means any materials supplied by you for use in the supply of the Goods.
"Goods"
means the goods to be supplied under the Contract.
"Postage Charges"
means the charges for delivery of the Goods.
"Price"
means the price for the Goods.
"Services"
means the services to be supplied under the Contract.
"We/Us/Our"
means Purely Digital Limited.
"Work in Progress Charge"
means any charge for work carried out by us in accordance with your instructions which does not result in the supply of any Goods.
"You/Your"
means the person, firm or company who purchases the Goods from us.
3. CONTRACT FORMATION
Any quotation is given on the basis that no contract will come into existence until we dispatch an acknowledgement of order to you. Any quotation is valid for a period of 30 days only from its date, provided that we have not previously withdrawn it.
4. SUPPLY AND PURCHASE OBLIGATION
We will supply, and you will purchase, the Goods and/or Services in accordance with the Contract.
5. CUSTOMER MATERIALS
You will supply the Customer Materials to us in accordance with any specification provided by us. You are responsible for ensuring that the Customer Materials are of satisfactory quality and fit for the purpose for which they are to be used. We will not be liable for any defect in the Goods arising from any defect in the Customer Materials.
6. SPECIFICATIONS
Any specification for the Goods or Services is approximate only. We reserve the right to make any changes to the specification which are required to conform to any applicable safety or other statutory or regulatory requirements.
7. PERFORMANCE
We will use reasonable endeavours to meet any performance dates specified in the Contract, but any such dates are estimates only and time is not of the essence for performance of our obligations.
8. DELIVERY
Delivery of the Goods will be made to the address specified in the Contract. You will make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.
9. CHARGES
You will pay the Charges in accordance with the payment terms set out in the Contract. All Charges are exclusive of VAT, which will be added at the applicable rate.
10. INVOICING
We will invoice you for the Charges on or at any time after delivery of the Goods. You will pay the invoice in full within 30 days of the date of the invoice, unless otherwise agreed in writing.
11. PAYMENT TERMS
Payment must be made in pounds sterling. Time for payment is of the essence. If you fail to pay any sum due to us by the due date, we may charge interest on the overdue amount at the rate of 4% per annum above the base rate of the Bank of England from time to time.
12. INTELLECTUAL PROPERTY
All intellectual property rights in the Goods, the Artwork, and any designs, drawings, or specifications prepared by us remain our property. You grant us a non-exclusive, royalty-free licence to use any intellectual property rights in the Customer Materials for the purpose of performing our obligations under the Contract.
13. CLAIMS TIME LIMITS AND HANDLING
You must inspect the Goods on delivery and notify us of any defects within 7 days of delivery. We will not be liable for any defects that are not notified to us within this period.
14. EXCLUSION AND LIMITATION OF LIABILITY
Nothing in these Conditions excludes or limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Subject to this, our total liability to you in respect of all losses arising under or in connection with the Contract, whether in contract, tort, breach of statutory duty, or otherwise, will not exceed the Charges.
15. INSOLVENCY
If you become subject to any insolvency event, we may cancel the Contract or suspend any further deliveries under the Contract without any liability to you.
16. GENERAL
These Conditions and the Contract constitute the entire agreement between us and supersede any previous agreement or understanding. No variation of the Contract will be valid unless it is in writing and signed by or on behalf of each party. The Contract is governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
